Tax Manager – International Planning

Anadarko; The Woodlands, TX, US

Job Summary

This position will be located in Anadarko’s corporate headquarters in the Woodlands, Texas, and will be a member of the Global Tax Planning team. This position will report to the Director of Global Tax Planning and Tax Controversy, and will be primarily responsible for providing international tax planning advice with respect to the Company’s corporate tax activities. This position will be responsible for managing 3 to 4 tax professionals, some of whom reside outside the US.

Qualifications

The successful candidate will ideally have at least 10 to 15 years of business tax experience with US federal and non-US tax, including significant experience with a Big 4 public accounting firm and/or a large law firm. In-house work experience in a corporate tax department is a plus. In order to be considered, a candidate must have a background of proven ability to handle complex transactions. The ideal candidate will possess the majority of the following qualifications:

  • Substantial experience with analyzing the business tax issues relating to complex international business transactions and financings commonly undertaken by a large, publicly traded company including, but not limited to: corporate formation and liquidation, dividend distributions, acquisition and disposition of assets and/or equity, project financing, financial products and corporate debt, and supply-chain planning.
  • Detailed knowledge of:
    • Foreign tax credit rules, including those specific to oil and gas operations;
    • US tax treaty analysis;
    • Rules for allocation of interest;
    • Rules related to repatriation of cash, including section 956;
    • US inbound and outbound, and foreign-to-foreign reorganization rules under section 367
  • Familiarity with non-US tax regimes, including permanent establishments, non-resident capital gains taxes, withholding taxes and VAT, and stamp duties.
  • Familiarity with oil and gas transactions and structures, including joint operating agreements, partnerships, farmouts, carried interests, and unitizations.
  • Experience with US and non-US tax controversy matters, including audits and administrative and/or judicial proceedings.
  • Experience managing tax professionals, including career development and training.
  • Outstanding interpersonal communication skills levels at all levels of the organization, commercial focus, and team-oriented approach.
  • Strong writing and tax research skills, a detail-oriented approach, and the ability to prioritize workflow and meet demanding deadlines, in a fast-paced environment.

Responsibilities

This position will serve the Company’s Global Tax Planning group, and will be responsible for tax planning and advice on a wide variety of corporate tax matters, including tax controversy matters. The focus will be on US international tax and non-US tax in jurisdictions the Company operates in. Work products would include legal memoranda, step plans, and oral communications with tax department personnel and business stakeholders. This position will supervise 3 to 4 international tax planning professionals.

Education

Juris Doctorate degree from an ABA accredited law school and an undergraduate degree in Accounting would be preferred.

Certifications/Licenses

Candidate should have passed the state bar exam and be a licensed member of the bar. LLM and/or CPA license is a plus.

Travel Requirements

The percentage of travel required for this position is less than 25%.

Insurance Risk Engineering Specialist

Job Description: 

The Assets and Casualty Risk Management Division is part of the Financial Risk Department in the Treasury organization. Its function is to provide support across the Company through the identification, quantification and mitigation of casualty risks and to reduce the cost of insured and uninsured loss to the Company, its subsidiaries and affiliates.

Saudi Aramco, a global leader in oil exploration, production and refining is seeking a risk engineer to join the Assets & Casualty Risk Management Division to analyze risk exposures, design strategies and procure insurance to protect assets and mitigate the liabilities of a growing Company. The successful applicant will be involved in all aspects of the Division’s wide-ranging activities, but will have specific responsibility for leading the ongoing risk engineering survey program of the Company’s key production assets and associated activities along with coordinating and managing the Division’s response to major casualty loss events.

The successful applicant will possess significant engineering experience gained from a career in the oil, gas or petrochemical industry sectors, in addition to insurance and risk management expertise obtained in risk engineering or a control function performed on behalf of international ‘blue-chip’ insurance companies or brokers.

We expect candidates to have the ability to establish personal credibility with various internal and external parties and to demonstrate excellent interpersonal and communication skills. Applicants must be team-oriented and able to work with minimal supervision to meet challenging deadlines.

Minimum Requirements:

  • A professional chemical or mechanical engineering degree and professional accreditation CEng or IEng, ACII, MIRM, SIRM, or CPCU professional insurance or risk management qualification.
  • At least 10 years of industry experience within the oil, gas or petrochemical sectors.
  • At least 5 years of risk control or risk engineering experience gained from roles within risk management or insurance.
  • A comprehensive understanding of insurance/reinsurance and related markets.
  • English language fluency and knowledge of Arabic is an advantage

Duties & Responsibilities:

  • Assist in the development of strategy to mitigate or transfer risk;
  • Assist with negotiation, implementation and administration of insurance and reinsurance placement structures;
  • Provide risk engineering or control consultancy to business units;
  • Develop and maintain credible loss scenarios and maximum possible loss calculations for key locations and others, as required;
  • Lead, coordinate and administer claims, including loss assessment, negotiations with proponents and third parties;
  • Negotiate and finalize claims settlements and pursue recovery from third parties;
  • Coordinate and manage asset appraisal and valuation exercises (including the appointment of appropriately qualified contractors);
  • Manage and coordinate broker, insurer, loss adjuster, risk engineers and other service provider activities;
  • Mentor and develop staff;
  • Represent the interests of the Division at internal and external meetings and assignments.
